Tactx Terms of Service
These Terms of Service ("Terms") apply to all users of the football coaching and tactical planning platform, community, and related services provided by Tactx ("Tactx," "we," "us," or the "Company") through its website, mobile applications, and desktop applications (individually and collectively, the "Services"). The Services include tactics boards, drill libraries, playbooks, training content, video analysis tools, coaching resources, and community features. These Terms govern your use of the Services, including all functionality, features, written and visual content, PDFs, links, and user interfaces, as well as all content and software associated with the Services provided by Tactx.
2. Acceptance and Changes to Terms
Tactx reserves the right, at its sole discretion, to modify, add to, or remove any term or condition of these Terms at any time, without notice or liability to you. Any changes to these Terms are effective immediately upon posting. You agree to review these Terms from time to time, and your continued use of the Services following any changes constitutes your acceptance of those changes.
3. Access and Use of Service
Users accessing the Services must be at least thirteen (13) years of age. Users registering an account or uploading User-Generated Content must be at least eighteen (18) years of age, or have the consent of a parent, guardian, or coaching organisation authorised to register on their behalf, where the user is a minor player. Tactx makes no claim that the Services may be lawfully accessed in any specific location. Access to the Services may not be permitted in certain jurisdictions or may require prior authorisation or registration. You are solely responsible for complying with the laws and regulations applicable in your jurisdiction.
4. Your Conduct
The Services may be used only for lawful purposes relating to football coaching, tactical planning, training, and related activities. Tactx specifically prohibits, and all users agree not to engage in, any use of the Services for purposes other than those designated by Tactx.
You are prohibited from violating or attempting to violate the security of the Services, including, without limitation: (a) accessing data not intended for you, or logging into an account or server you are not authorized to access; (b) probing, scanning, or testing the vulnerability of a system or network, or attempting to breach security or authentication measures without authorization; (c) interfering with service to any user, host, or network, including by submitting a virus, or by overloading, "flooding," "spamming," or "crashing" the Services; (d) forging any packet header or part of the header information in any communication sent through the Services; or (e) scraping or harvesting data from the Services without authorization.
Violations of system or network security, or other inappropriate conduct, may result in civil or criminal liability. Tactx will investigate occurrences that may involve such violations and may cooperate with law enforcement in prosecuting users involved in such violations.
You are solely responsible for your conduct in any community or discussion features of the Services. We ask that all users create a welcoming environment, treat one another with respect, and engage in healthy debate with kindness. Bullying of any kind is not allowed, and degrading comments about race, religion, culture, sexual orientation, gender, or identity will not be tolerated. Self-promotion, spam, and irrelevant third-party links are not permitted. If you experience or witness harassment or inappropriate behaviour, please contact Tactx immediately. Contributions you make to community features may be accessible to other users. By registering, you agree to follow Tactx's community guidelines and acknowledge that failure to do so may result in suspension or termination of your account.
5. User Information
You are solely responsible for the information you input or upload to the Services, and you warrant that you have the right and authorisation to register for the Services and to post any User Generated Content. Tactx reserves the right, in its sole discretion, to determine whether information you input or upload is appropriate and complies with these Terms, other Tactx policies, and applicable law.
If you register for the Services, you will be asked to provide certain information, including a valid email address. You warrant that all such information is current, accurate, and will be kept up to date. Your privacy rights are set out in our Privacy Policy, available at https://tactxcoach.com/privacy. Tactx reserves the right to offer Tactx or third-party products and services to you based on preferences you provide, unless you opt out of receiving such communications.
6. Username/Password/Security
You are responsible for maintaining the confidentiality of your account credentials, including your username and password, and for all use of your account, whether or not authorised by you. If you allow someone else to use your device, you should always log out to prevent unauthorised access to your account. You agree to notify Tactx immediately of any unauthorised use of your username or password.
7. Use of Services
The Services are offered for football coaching, training, tactical planning, and related purposes, and Tactx acts only as a provider of such tools and content. Each user is solely responsible for deciding whether the Services are suitable for their own purposes and needs.
Tactx grants you a limited, non-exclusive license to access and use the Services for your own personal, team, or coaching-related, non-commercial purposes, including the right to view content on Tactx's website and applications. If you elect to access any component of the Services for which a fee applies, you agree to pay all associated fees and charges on a timely basis, including any applicable taxes and late fees. All charges will be billed to your designated payment method, and you agree to maintain valid payment information as part of your account.
8. Access to Services – Subscriptions & Purchases
The Services may allow you to access content, drills, playbooks, or training materials on a subscription, one-time purchase, or team/organization license basis. The applicable basis for any given content will be indicated within the Services. Subject to payment of applicable fees, Tactx grants you a non-exclusive, non-transferable, personal, non-sublicensable, limited license to access such content according to the subscription, purchase, or license selected by you.
Tactx makes no guarantee as to the resolution, quality, or availability of digital content when streamed or downloaded. Streaming and download quality depend on factors such as your connection speed, location, device, and bandwidth.
9. Payments & Billing
Content available under specific plans, including subscriptions, one-time purchases, or team licenses, may change from time to time at Tactx's sole discretion. Tactx does not guarantee the continued availability of any specific plan. By purchasing a plan, you authorise Tactx to charge your designated payment method. You may update your payment information at any time by logging in to your account and accessing your account settings. Receipts are sent to your registered email upon successful charge. Your subscription continues until you cancel it or Tactx terminates it. You must cancel according to the terms of your specific plan prior to the next billing date to avoid further charges.
10. User Comments and Suggestions
While Tactx values user feedback, please do not submit creative ideas, inventions, or suggestions unless specifically requested. If you nonetheless submit such material, it becomes the property of Tactx, and Tactx shall own all rights to such submissions and may use them for any purpose, commercial or otherwise, without compensation to you or any third party. No submission shall be subject to any obligation of confidence, and Tactx shall not be liable for any use or disclosure of it.
11. Intellectual Property
"Tactx" and any other Tactx trademarks, trade names, and logos, and any variations thereof, are and remain the exclusive property of Tactx. Unauthorised use of these marks is prohibited. The Services, including all software, interface layout, interface text, documentation, resources, and graphics, are the sole and exclusive property of Tactx and are protected by copyright, trademark, and other intellectual property laws. You agree that Tactx owns and retains all rights to the Services, and that content provided through the Services is protected by applicable intellectual property laws. You may not sell, modify, reproduce, publicly display, publicly perform, distribute, or otherwise use the Services or their content for any purpose not expressly permitted by these Terms.
12. Social Networking
Users may have the option to connect the Services to X, Facebook, or other social networking services to share links and content. Use of this option is your sole responsibility, including compliance with the terms and conditions of the relevant social networking service.
13. Use of Software
If the Services include downloadable software, such as a mobile or desktop application, Tactx grants a personal, limited, non-exclusive, non-transferable license to use the software, including all portions, documentation, and updates (the "Software"), solely for purposes relating to football coaching, tactical planning, and related activities through the Services.
You may not modify, alter, create derivative works from, decompile, reverse engineer, disassemble, incorporate into other software, or translate the Software, or use it for any purpose other than as permitted. You may not copy, reproduce, transmit, rent, lease, resell, sublicense, assign, distribute, or otherwise transfer the Software or this license.
This license does not permit use of the Software on any device you do not own or control, and you may not make the Software available over a network for simultaneous use by multiple devices. You agree that the Software's design and structure constitute proprietary and confidential information and trade secrets of Tactx, and you agree not to disclose or use such information for your own benefit or for the benefit of any third party.
Use of the Software may require Tactx to collect your mobile phone number and related information to provide access. Tactx may periodically collect and use technical data to provide updates, support, and related services in a form that does not personally identify you.
Tactx may revise, update, or otherwise modify the Software at any time, with reasonable notice posted or sent to your email address. Continued use of the Software after such changes constitutes acceptance of them.
This license is effective until terminated by you or Tactx. Your rights under this license terminate automatically, without notice, if you fail to comply with any term of this license. Upon termination, you must cease all use of the Software and delete all copies in your possession. The warranty disclaimers and limitations of liability set out below also apply to your use of the Software.
14. Copyright Infringement Notification
If you believe that copyrighted work accessible through the Services infringes your copyright, please notify Tactx's designated copyright agent with the following information: (a) the physical or electronic signature of the copyright owner or a person authorized to act on their behalf; (b) a description of the copyrighted work you claim has been infringed and the allegedly infringing activity; (c) identification of the location on the Services where the material or activity is occurring, with sufficient information to allow us to locate it; (d) your name, address, telephone number, and email address; and (e) a statement, made under penalty of perjury, that the information provided is accurate and that you are the copyright owner or authorized to act on the owner's behalf, and that you have a good faith belief the use is not authorized.
If you believe a notice of infringement has been wrongly filed against you, you may send Tactx a counter-notice including: your name, address, and telephone number; identification of the removed content and its prior location; a statement under penalty of perjury that you have a good faith belief the content was removed in error; and a statement consenting to the jurisdiction of the courts applicable to your address, or if outside that jurisdiction, to any court where Tactx may be found, and that you will accept service of process from the party that filed the original complaint. Submission of a false or materially misleading notice or counter-notice may result in liability under applicable law.
15. Warranty Disclaimers
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND. TACTX DISCLAIMS ALL WARRANTIES AND CONDITIONS WITH RESPECT TO THE SERVICES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, SATISFACTORY QUALITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, QUIET ENJOYMENT, AND NON-INFRINGEMENT OF THIRD-PARTY RIGHTS.
TACTX DOES NOT WARRANT THAT THE SERVICES WILL MEET YOUR REQUIREMENTS, THAT OPERATION WILL BE UNINTERRUPTED OR ERROR-FREE, OR THAT THE SERVICES ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. SHOULD THE SERVICES PROVE DEFECTIVE, TACTX IS NOT RESPONSIBLE FOR COSTS ASSOCIATED WITH SERVICING OR REPLACING EQUIPMENT OR DATA.
TACTX MAKES NO WARRANTIES ABOUT THE ACCURACY, RELIABILITY, COMPLETENESS, OR TIMELINESS OF THE SERVICES, USER GENERATED CONTENT, OR ANY OTHER CONTENT ACCESSED THROUGH THE SERVICES.
TRANSMISSION OF DATA, INCLUDING COMMUNICATIONS BY EMAIL, OVER THE INTERNET IS NOT SECURE AND MAY BE LOST, INTERCEPTED, OR ALTERED IN TRANSIT. TACTX DOES NOT ASSUME LIABILITY FOR ANY DAMAGE OR COST YOU MAY INCUR AS A RESULT OF SUCH TRANSMISSIONS. NO SUCH DATA WILL BE DEEMED CONFIDENTIAL, CREATE ANY FIDUCIARY OBLIGATION ON TACTX'S PART, OR RESULT IN LIABILITY TO YOU IF INADVERTENTLY RELEASED OR ACCESSED BY THIRD PARTIES WITHOUT CONSENT.
TACTX TAKES NO RESPONSIBILITY FOR INFORMATION YOU UPLOAD TO THE SERVICES AND IS NOT RESPONSIBLE FOR ITS DELETION, CORRECTION, DESTRUCTION, DAMAGE, OR LOSS, OR FOR ANY FAILURE TO STORE SUCH INFORMATION, INCLUDING LOSS CAUSED BY THIRD PARTIES OR CIRCUMSTANCES BEYOND TACTX'S CONTROL. YOU ARE RESPONSIBLE FOR MAINTAINING YOUR OWN BACKUP OF ANY INFORMATION YOU UPLOAD.
TO THE FULLEST EXTENT PERMITTED BY LAW, NEITHER TACTX NOR ITS AFFILIATES, SUBSIDIARIES, DIRECTORS, OFFICERS, EMPLOYEES, PARTNERS, REPRESENTATIVES, CONTRACTORS, OR AGENTS SHALL BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES RELATING TO OR RESULTING FROM USE OF THE SERVICES OR FROM ANY ACTION TACTX TAKES OR FAILS TO TAKE, INCLUDING DAMAGES FOR ERRORS, OMISSIONS, INTERRUPTIONS, DEFECTS, DELAYS, VIRUSES, LOST PROFITS, LOST DATA, BUSINESS INTERRUPTION, UNAUTHORIZED ACCESS TO OR ALTERATION OF DATA, AND OTHER TANGIBLE OR INTANGIBLE LOSSES, REGARDLESS OF LEGAL THEORY AND EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. TACTX'S MAXIMUM LIABILITY ARISING OUT OF OR IN CONNECTION WITH THE SERVICES WILL NOT EXCEED THE AMOUNT, IF ANY, PAID BY YOU FOR THE SERVICES.
16. Limitation of Liability
IN ADDITION TO THE ABOVE, TO THE FULLEST EXTENT PERMITTED BY LAW, NEITHER TACTX NOR ITS AFFILIATES, SUBSIDIARIES, DIRECTORS, OFFICERS, EMPLOYEES, PARTNERS, REPRESENTATIVES, CONTRACTORS, OR AGENTS SHALL BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES RELATING TO OR RESULTING FROM YOUR USE OR INABILITY TO USE THE SERVICES, OR FROM ANY ACTION TACTX TAKES OR FAILS TO TAKE. THIS LIMITATION APPLIES REGARDLESS OF WHETHER DAMAGES ARE CLAIMED UNDER WARRANTY, CONTRACT, NEGLIGENCE, TORT, OR ANY OTHER LEGAL THEORY, EVEN IF TACTX HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. TACTX'S MAXIMUM LIABILITY ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICES WILL NOT EXCEED THE AMOUNT, IF ANY, PAID FOR THE SERVICES. NOTHING IN THESE TERMS EXCLUDES OR LIMITS TACTX'S LIABILITY FOR DEATH OR PERSONAL INJURY CAUSED BY NEGLIGENCE, FRAUD, OR ANY OTHER LIABILITY THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.
17. Indemnification
YOU AGREE TO DEFEND, INDEMNIFY, AND HOLD HARMLESS TACTX AND ITS SUBSIDIARIES, AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, REPRESENTATIVES, AND PARTNERS FROM AND AGAINST ANY LOSS, LIABILITY, CLAIM, ACTION, OR DEMAND, INCLUDING REASONABLE LEGAL AND ACCOUNTING FEES, ARISING FROM OR RELATING TO: (I) YOUR USE OF THE SERVICES; (II) ANY USER GENERATED CONTENT OR COMMUNICATIONS YOU SUBMIT; OR (III) YOUR BREACH OF THESE TERMS. TACTX WILL PROMPTLY NOTIFY YOU OF ANY SUCH CLAIM AND WILL ASSIST YOU, AT YOUR EXPENSE, IN DEFENDING IT. TACTX RESERVES THE RIGHT TO ASSUME THE EXCLUSIVE DEFENSE AND CONTROL OF ANY MATTER SUBJECT TO INDEMNIFICATION BY YOU.
18. Communications
By using the Services, you consent to receive electronic communications from Tactx. These communications may include emails about your account, password, access, marketing, transactional matters, and other information related to the Services and your account.
19. Additional Terms and Conditions
Nothing in these Terms is intended to create, or will be construed as creating, a joint venture, partnership, employment, or agency relationship between you and Tactx.
These Terms are governed by and construed in accordance with the laws of England and Wales, without regard to conflict of laws principles and excluding the United Nations Convention on Contracts for the International Sale of Goods (CISG). You irrevocably agree to the exclusive jurisdiction of the courts of England and Wales in connection with any dispute arising out of or related to these Terms, and you waive any objection based on lack of personal jurisdiction, place of residence, improper venue, or forum non conveniens.
If a court of competent jurisdiction holds any provision of these Terms invalid or unenforceable, that provision will be enforced to the maximum extent permitted by law, and the remaining provisions will continue in full force and effect.
The failure or delay of either party to exercise or enforce any right or claim does not constitute a waiver of that right or claim, and shall not affect that party's ability to later enforce or exercise it, unless an express written waiver is signed by a duly authorised representative.
You may not assign these Terms, or any of your rights or obligations under them, without Tactx's prior written consent.
Except as expressly stated in these Terms, this agreement creates rights and obligations only between Tactx and each individual user, and does not create any rights for any other party.
